These Terms of Service govern access to and use of the QuickDatalist website, products, sample datasets, digital deliverables, and related services. By accessing the website, requesting a quote, downloading samples, placing an order, or using any QuickDatalist service, the user or client agrees to be bound by these Terms of Service.

1. Service Provider

QuickDatalist provides B2B database, and related digital data services. The exact scope, deliverables, timelines, formats, usage permissions, and pricing for a specific project may also be described in a proposal, invoice, statement of work, email confirmation, or separate written agreement.

If there is any conflict between these Terms of Service and a signed client agreement, the signed agreement will control to the extent of that conflict.

2. Acceptance of Terms

By using the website or services, the client represents that it has the legal capacity to enter into a binding agreement and to accept these Terms of Service. Website terms are commonly used to define the rules of use, establish enforceable obligations, and protect the business through clauses on intellectual property, liability, and dispute handling.

Use of the website after updates are posted constitutes acceptance of the revised terms, unless applicable law requires a different form of consent.

3. Scope of Services

QuickDatalist offers digital services that may include:

  • Custom web scraping and data extraction
  • B2B contact and company database research
  • Lead generation support
  • Data cleaning, enrichment, and formatting
  • Delivery of spreadsheets, CSV files, APIs, scripts, dashboards, or custom datasets
  • Trial samples, previews, or evaluation only datasets

All services are provided subject to technical feasibility, lawful use, source site limitations, project assumptions, and the agreed scope. QuickDatalist may decline work that appears unlawful, unethical, technically infeasible, or inconsistent with platform restrictions or applicable regulations.

4. Quotes, Orders, and Project Formation

A project is considered accepted when QuickDatalist confirms the order in writing, issues an invoice, receives payment, begins work, or otherwise confirms commencement. Quotes, turnaround times, volume estimates, and extraction coverage may be based on the information available at the time and may change if the source website, access conditions, or project requirements change during execution.

Clients are responsible for reviewing proposals, confirming scope, and clarifying assumptions before work begins.

5. Payment Terms

Unless otherwise agreed in writing, payment is due in full before services begin. All prices are stated in USD unless specifically stated otherwise, and applicable taxes, bank charges, gateway fees, currency conversion charges, withholding amounts, or statutory levies may be added or borne by the client as applicable.

Accepted payment methods may include Stripe, card payments, PayPal, bank transfer, UPI, or any other payment method made available by QuickDatalist. Failure to make timely payment may result in delayed commencement, paused delivery, withheld files, suspension of service, or cancellation of the project.

6. Refund Policy

Because QuickDatalist provides digital services, custom research, data extraction, and tailored deliverables that are prepared for specific client requirements, all sales are final unless QuickDatalist expressly agrees otherwise in writing. Indian guidance notes that businesses may adopt a no return or no refund policy, especially for certain services, provided the policy is clearly disclosed to users.

Refunds are therefore not offered merely because the client changes its mind, no longer needs the service, misunderstood the scope, or is dissatisfied with results that still match the agreed project terms.

However, if there is a demonstrable technical issue, material delivery failure, or substantial deviation from the agreed scope, QuickDatalist may, at its discretion, provide a correction, replacement delivery, partial re-performance, service credit, or another reasonable remedy instead of a refund.

7. Samples and Evaluation Use

QuickDatalist may provide free samples, previews, demo files, or limited records for evaluation purposes only. These samples are intended solely to help a prospective client assess data format, extraction quality, structure, and relevance before purchase.

The following are strictly prohibited:

  • Bulk downloading of free samples
  • Automated or scripted downloading of sample files
  • Rotating IPs, accounts, emails, or browser sessions to collect repeated samples
  • Using repeated sample requests to reconstruct or extract a substantial part of any database or service output
  • Reselling, sharing, publishing, or commercially exploiting samples without authorization

Unauthorized sample harvesting may result in request blocking, account suspension, IP restriction, cancellation of access, refusal of future service, and legal action where appropriate.

8. Client Responsibilities

The client agrees to:

  • Provide accurate, complete, and timely project requirements
  • Confirm the intended fields, target sources, quality standards, and delivery format before work starts
  • Review samples, test files, or milestones within a reasonable time
  • Ensure that the requested collection, receipt, storage, and use of data is lawful in the client’s jurisdiction and use case
  • Obtain any notices, consents, permissions, licenses, or approvals required for the client’s use of the delivered data
  • Avoid using QuickDatalist’s services for unlawful surveillance, spam, discrimination, fraud, harassment, or any prohibited activity

The client remains responsible for how delivered data is ultimately used, shared, combined, marketed, or operationalized after delivery.

9. Compliance and Intended Use

QuickDatalist aims to follow lawful and ethical business practices. At the same time, the client is solely responsible for ensuring that the intended use of the deliverables complies with applicable laws, regulations, contracts, platform terms, and industry rules, including privacy and marketing laws where relevant.

This includes, where applicable, laws or obligations related to personal data, marketing outreach, consent, consumer rights, sector-specific restrictions, and international transfer requirements. The presence of a privacy-related clause in these terms does not constitute legal advice, and clients should obtain independent legal advice where needed.

10. Delivery and Timelines

QuickDatalist will use commercially reasonable efforts to deliver services according to the agreed scope and expected timeline. Delivery dates are estimates unless explicitly stated to be fixed deadlines in writing.

Delays may occur because of source website downtime, anti-bot controls, changing website structures, blocked access, third-party platform restrictions, force majeure events, payment delays, or client-side delays in approvals, credentials, clarifications, or feedback. QuickDatalist is not responsible for delays caused by factors outside its reasonable control.

11. Revisions and Issue Resolution

If a delivered service does not materially match the agreed scope, the client should report the issue within a reasonable period after delivery and provide clear details of the alleged mismatch. QuickDatalist may review the issue and, where appropriate, correct errors, re-run a portion of the extraction, adjust formatting, or provide another reasonable fix consistent with the original agreement.

Requests that materially expand the original scope, increase data volume, add new websites, or change validation standards may be treated as a new or revised paid project.

12. Ownership and Intellectual Property

Terms commonly include intellectual property provisions to clarify ownership of website content, tools, and permitted use of business assets.

Unless otherwise agreed in writing:

  • QuickDatalist retains ownership of its website content, branding, trademarks, logos, code, extraction methods, templates, scripts, systems, documentation, and pre-existing tools
  • QuickDatalist retains ownership of any internal know-how, workflows, utilities, automation logic, and reusable components developed or used in the course of service delivery
  • The client retains ownership of materials, instructions, credentials, and source data supplied by the client
  • The client receives the rights expressly granted in the applicable project agreement for the final delivered dataset or output

No transfer of ownership in QuickDatalist’s underlying methods, software, systems, or intellectual property is implied unless expressly stated in writing.

13. Permitted Use of Deliverables

The client may use delivered data and outputs only for lawful business purposes and in accordance with the agreed scope, applicable law, and any written license or project terms. Unless expressly permitted in writing, the client may not resell, sublicense, publicly redistribute, republish, or market QuickDatalist deliverables as a standalone competing database or commercial data service.

Any use of the deliverables that violates law, infringes third-party rights, breaches platform rules, or materially exceeds the granted scope is prohibited.

14. Confidentiality

QuickDatalist will use reasonable care to protect non-public information shared by the client for the purpose of preparing and delivering services. Such information may include business data, target parameters, credentials, internal notes, project files, and non-public communications.

Confidential information does not include information that is publicly available without breach, was already lawfully known, is independently developed without use of the confidential information, or must be disclosed by law or lawful order. If stronger confidentiality obligations are required, the parties may enter into a separate non-disclosure agreement.

15. Privacy and Data Handling

Use of the website and services may also be governed by QuickDatalist’s Privacy Policy, which explains how personal information is collected, used, and protected. Where these Terms of Service and the Privacy Policy both apply, the Privacy Policy governs personal information handling, while these terms govern the overall service relationship.

Clients should not send unnecessary sensitive personal information unless specifically requested and lawfully required for the service.

16. Third-Party Platforms and Sources

QuickDatalist may rely on third party websites, software providers, hosting providers, payment processors, cloud services, or communication platforms in order to operate or deliver services.

Availability, data coverage, extraction success, and timing may be affected by changes in third party systems, access restrictions, robots controls, API limitations, CAPTCHAs, account limitations, legal demands, or technical failures.

QuickDatalist does not guarantee continuous access to any third-party source or that a source will remain available in the same format over time.

17. Website Use Restrictions

Users of the QuickDatalist website must not:

  • Attempt to gain unauthorized access to servers, systems, or accounts
  • Reverse engineer, copy, mirror, scrape, or systematically extract website content or databases without permission
  • Upload malicious code, spam, bots, or harmful content
  • Interfere with the operation, security, or performance of the website
  • Misrepresent identity or affiliation
  • Use the website in a way that violates any law or infringes any rights

QuickDatalist may monitor, restrict, block, or investigate suspicious activity to protect its systems, users, and business.

18. Disclaimer of Warranties

Guidance on website terms commonly treats warranty disclaimers as a core protection alongside intellectual property and limitation-of-liability clauses.

To the fullest extent permitted by law, the website, samples, and services are provided on an “as is” and “as available” basis. QuickDatalist does not warrant that the website will be uninterrupted, error-free, fully secure, or available at all times, or that all extracted data will be complete, current, uninterrupted, or suitable for every intended purpose.

Data availability and accuracy can depend on the original source, change frequency, source restrictions, public availability, formatting quality, and many other third-party factors beyond QuickDatalist’s control.

19. Limitation of Liability

Website terms often use limitation-of-liability clauses to reduce exposure to indirect, incidental, or consequential damages.

To the fullest extent permitted by law, QuickDatalist will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost business opportunities, business interruption, data loss, goodwill loss, or procurement of substitute services arising out of or relating to the website, services, samples, or delivered outputs, even if advised of the possibility of such damages.

To the fullest extent permitted by law, QuickDatalist’s total aggregate liability arising out of or relating to any claim will not exceed the amount actually paid by the client to QuickDatalist for the specific service giving rise to the claim during the 3 months preceding the event giving rise to liability, unless a different cap is required by non-waivable law.

Nothing in these terms excludes liability that cannot lawfully be excluded under applicable law.

20. Indemnity

The client agrees to defend, indemnify, and hold harmless QuickDatalist and its owners, personnel, contractors, and affiliates from and against claims, losses, liabilities, damages, costs, and expenses arising out of or related to the client’s project instructions, unlawful use of deliverables, breach of these terms, infringement allegations based on client-provided materials, or violation of law or third-party rights by the client.

21. Suspension and Termination

QuickDatalist may suspend, refuse, or terminate access to the website or services at any time if:

  • The client breaches these terms.
  • Payment is overdue.
  • The requested use appears unlawful, abusive, unethical, or high-risk.
  • The client misuses samples or attempts prohibited extraction behavior.
  • Cooperation necessary to complete the project is not provided.
  • Continuing the service would expose QuickDatalist to legal, compliance, security, or reputational risk.

Termination does not affect payment obligations already accrued, intellectual property protections, confidentiality obligations, limitation clauses, or any terms that by nature should survive termination.

22. Force Majeure

QuickDatalist will not be liable for failure or delay caused by events beyond reasonable control, including internet outages, cyber incidents, government actions, labor disruptions, natural disasters, war, pandemic events, hosting failures, supplier failures, utility interruptions, or major source-platform disruptions.

23. Governing Law and Dispute Resolution

Website terms in India are generally framed against the background of the Indian Contract Act, 1872 and related laws governing electronic contracts and website operations.

These Terms of Service are governed by the laws of India. Subject to any mandatory legal requirements, disputes will first be addressed through good-faith discussion and an attempt at amicable resolution. If the dispute is not resolved, the parties may seek mediation or arbitration by mutual agreement, or otherwise pursue remedies before the courts having jurisdiction in Surat, Gujarat, India.

If QuickDatalist later adopts a more specific arbitration mechanism, seat, language, or notice process in a signed order form or master services agreement, that specific agreement will prevail for the relevant client relationship.

24. Electronic Communications

The client agrees that proposals, invoices, confirmations, delivery notices, project communications, and other notices may be sent electronically by email, website notice, chat, or other digital means used in the client relationship. Electronic records and communications may be used to evidence agreements and instructions to the extent permitted by law.

25. Changes to These Terms

QuickDatalist may revise these Terms of Service from time to time by posting an updated version on the website. The updated version becomes effective on the stated effective date or, if no date is listed, upon posting.

Users should review these terms periodically to stay informed of the current rules governing use of the website and services.
